Terms of use
These terms govern your use of the AI Expert Exchange website and membership of the exchange. They are separate from any engagement you agree with a client. A working draft pending legal review.
What the exchange is — and is not
AI Expert Exchange vets experts, gives them access to ProcessScout software, and introduces them to clients whose needs have been set out in a signed written report. That is the whole role. The exchange is not a party to any engagement between an expert and a client: experts contract directly with clients, own the relationship and the work, and are not employees, agents or subcontractors of the exchange.
Fees — examples until agreed in writing
The published economics — free registration, a 10% fee on billings from engagements the exchange introduces (5% beyond $25,000 per client relationship), 0% on your own clients, and a 20% referral share ($300) on referred $1,500 assessments — are example launch terms, pending commercial validation. Your actual terms are agreed per expert, in writing, before your first match, and only that written agreement binds either side. No exclusivity is asked of you.
The free software licence
ProcessScout Practice access at $0 (list price from $390/month) is conditional on remaining a registered, active expert — meaning at least one client engagement run on the platform in the last two quarters. If your access lapses, standard ProcessScout pricing applies, and we tell you before that happens. Your use of ProcessScout software is governed by ProcessScout's own terms, not by this document.
No guaranteed matching, volume or protection
- Matching depends on fit, capacity, and what client assessments actually surface. No volume of introductions or placements is promised.
- Milestone payment protection is offered on selected matched engagements only, has limited availability, and applies only where confirmed in writing. It is not a default and not escrow on every engagement.
- The certification path is a pilot cohort and may change as it is validated.
Acceptable use and removal
We remove experts from the exchange for misrepresenting credentials or experience, circumventing exchange fees on introduced business, breaching a client's confidence, or attempting to disrupt, probe or misuse the website or the platform. Automated collection or scraping of this site beyond ordinary indexing requires our written permission.
Liability, in plain language
To the fullest extent permitted by law, the website is provided "as is". Because the exchange is not a party to expert–client engagements, it is not liable for the outcome of that work, for a client's payment, or for an expert's delivery — those obligations sit in the direct contract between expert and client. Nothing in these terms limits liability that cannot be limited by law.
Operator and governing law
The website and the exchange are operated by Upraxis Americas Inc, a Wyoming statutory close corporation, 30 N Gould St Ste N, Sheridan, WY 82801, under the BetterWrk brand. These terms are governed by the law of Wyoming. Questions: [email protected].
